Acceptance of Terms
These Terms of Service ("Terms") constitute a binding agreement between Research Pathfinder, Inc. ("Research Pathfinder," "RP," "we," or "us") and the individual or organization purchasing services ("Client").

By checking the box indicating agreement to these Terms and submitting payment, Client acknowledges that it has read, understands, and agrees to be bound by these Terms. The individual completing the purchase represents that he or she has authority to enter into this Agreement on behalf of the Client.
Electronic acceptance of these Terms and electronic payment shall have the same force and effect as a written agreement signed by the parties.

 

1. Services

 

1.1 Candidate Search Services. Client retains Research Pathfinder to conduct candidate sourcing and search services for one or more positions submitted by Client. Client may purchase either a Targeted Search or a Wider Net Search, in the quantity selected at checkout.
1.2 Targeted Search. A Targeted Search is a candidate sourcing search conducted using Research Pathfinder's available network, database, sourcing tools, professional networks, direct sourcing methods, and other channels RP determines are appropriate for the position.
1.3 Wider Net Search. A Wider Net Search expands the sourcing effort beyond the methods used for a Targeted Search and may include distribution or sourcing through additional third-party job boards, professional associations, scientific or industry-specific platforms, recruiting databases, advertising channels, and other sources selected by Research Pathfinder based on the position. The specific platforms and channels used may vary by position, specialty, geography, availability, cost, platform requirements, and RP's determination of where qualified candidates are most likely to be found.
1.4 Scope of Purchase. Each Search purchased applies to one position unless otherwise agreed in writing. If Client purchases multiple Searches, Client may submit a separate position for each Search purchased. Research Pathfinder's obligation is to conduct the number and type of Searches purchased by Client. Client is purchasing the performance of candidate search and sourcing services, not a guaranteed recruiting outcome.
1.5 Search Results. Research Pathfinder may identify, evaluate, score, screen, rank, or otherwise review potential candidates and provide Client with candidates RP determines may warrant Client's consideration. The number and quality of potential candidates available will vary by position and market conditions. Additional limitations and disclaimers regarding candidate outcomes are set forth in Sections 5 through 7.
1.6 Search Timing. Any timelines communicated by Research Pathfinder are good-faith target timelines based on normal operating conditions and are not guaranteed completion dates. A Search will not be considered ready to begin until Research Pathfinder has received payment and sufficient information from Client to reasonably conduct the Search. Additional timing terms are set forth in Section 5.

 

2. Client Responsibilities

 

2.1 Position Information. Client is responsible for providing Research Pathfinder with complete and accurate information regarding each position submitted for Search, including the job description, required qualifications, experience requirements, location or remote-work requirements, compensation information when applicable, and any other material requirements necessary to conduct the Search. Client shall promptly notify RP of any material changes to the position or its requirements.
2.2 Cooperation. Client agrees to provide reasonable and timely responses to questions or requests for clarification from Research Pathfinder. Delays in providing necessary information may delay the commencement or completion of the Search and shall not constitute a failure by RP to perform the Services.
2.3 Hiring Decisions. Client retains complete responsibility and authority for evaluating candidates and making all interview, employment, compensation, offer, hiring, credentialing, background-check, and employment decisions. Research Pathfinder's sourcing or presentation of a candidate does not constitute a representation or guarantee that the candidate is suitable for employment by Client.
2.4 Verification. Unless expressly included as part of a separately identified RP service, Client is responsible for conducting any background checks, reference checks, credential verification, employment verification, licensing verification, drug testing, work authorization verification, or other due diligence Client considers necessary before hiring or engaging a candidate.
2.5 Legal Authority and Compliance. Client represents that it has the legal authority to recruit for and fill each position submitted to Research Pathfinder and agrees to comply with all applicable employment, labor, anti-discrimination, privacy, data-protection, and hiring laws and regulations. Client shall not request that Research Pathfinder conduct a Search using criteria that would violate applicable law.
2.6 Candidate Information. Candidate resumes, profiles, contact information, and other Candidate Information provided by Research Pathfinder shall be used solely for legitimate recruiting, evaluation, interviewing, and hiring purposes related to Client's organization and in accordance with Section 8.
2.7 Client Hiring Process. Once candidates are delivered or introduced, Client is responsible for timely follow-up, communications, interviewing, evaluation, and hiring decisions. Research Pathfinder is not responsible for candidates becoming unavailable, withdrawing, accepting another position, or declining to proceed because of delays or actions within Client's hiring process.

 

3. Fees and Payment

 

3.1 Fees. Client agrees to pay the fees displayed at checkout for the Search package and quantity selected. The total purchase price is calculated by multiplying the applicable per-Search price by the number of Searches purchased.
3.2 Payment in Advance. All fees are due in full at the time of purchase unless Research Pathfinder agrees otherwise in writing. Research Pathfinder is not required to begin any Search until payment has been successfully received.
3.3 Payment Processing. Payments are processed through third-party payment providers made available through Research Pathfinder's website. Client agrees to provide accurate and current billing and payment information and authorizes the applicable payment provider to process the amount displayed at checkout. Research Pathfinder does not directly store full credit card information submitted through the secure payment processor.
3.4 Taxes and Additional Charges. Client is responsible for any applicable sales, use, excise, or similar taxes imposed on the Services, except for taxes based on Research Pathfinder's net income. Any separately disclosed third-party or processing charges will be identified before payment where applicable.
3.5 Receipt and Order Record. Upon successful payment, Research Pathfinder may provide Client with an electronic confirmation or receipt identifying the Search package purchased, quantity, amount paid, and related order information.
3.6 No Contingency Fee. Fees paid to Research Pathfinder are for the performance of the Search services purchased and are not contingent upon Client interviewing, offering employment to, engaging, or hiring any candidate.

 

4. Refunds and Cancellations

 

4.1 General Rule. Search purchases are refundable only before Research Pathfinder begins substantive work on the applicable Search.
4.2 Commencement of Search. For purposes of these Terms, a Search will be considered to have begun once Research Pathfinder has taken substantive action to perform the Search, including reviewing the submitted role, developing search criteria, identifying sourcing channels, conducting candidate research, initiating sourcing activity, posting or distributing the position, or otherwise commencing work specifically for that Search.
4.3 Cancellation Before Work Begins. If Client requests cancellation before substantive work begins on a purchased Search, the fee paid for that unused Search will be refundable, less any non-refundable third-party fees or transaction charges actually incurred, where permitted by applicable law.
4.4 No Refund After Search Begins. Once substantive work has begun on a Search, the fee for that Search is non-refundable, regardless of whether the Search results in candidates, interviews, offers, placements, or a hire. Client acknowledges that Research Pathfinder commits personnel, time, technology resources, databases, sourcing tools, third-party platforms, and potentially paid search channels once work begins.
4.5 Multiple Search Purchases. If Client purchases multiple Searches, the refundability of each Search will be considered separately. Searches that have not yet begun may remain eligible for cancellation under Section 4.3 even if work has already begun on other Searches included in the same purchase.
4.6 Client Delay or Abandonment. A Search will not become refundable merely because Client delays providing information, becomes unresponsive, changes its hiring plans, freezes or eliminates the position, fills the position through another source, or otherwise elects not to continue the hiring process after Research Pathfinder has begun work.
4.7 Changes to Position. Material changes to a position after a Search has begun may require Research Pathfinder to modify, restart, or conduct additional sourcing work. Research

Pathfinder may determine whether the revised requirements can reasonably be addressed within the original Search or whether a new Search must be purchased.

 

5. Timing and Delivery

 

5.1 Target Timelines. Research Pathfinder will use commercially reasonable efforts to begin and perform Searches in accordance with timelines communicated on its website, checkout page, proposals, or other written communications. Any stated timelines are estimates and service targets only and are not guaranteed deadlines.
5.2 Commencement of Search. A Search will not be considered ready to begin until Research Pathfinder has received successful payment and sufficient information from Client to reasonably conduct the Search, including a usable job description and the material requirements of the position.
5.3 Factors Affecting Timing. Search timelines may vary depending on factors including the complexity or seniority of the position, required qualifications, compensation, geography, candidate availability, labor-market conditions, third-party platform performance, Client responsiveness, changes to the position, and other circumstances outside Research Pathfinder's reasonable control.
5.4 Client Delays. Any delay by Client in providing job information, answering questions, confirming requirements, or otherwise providing information reasonably necessary to conduct the Search will extend any estimated delivery timeline accordingly.
5.5 Search Launch. References to launching or beginning a Search within a particular period represent Research Pathfinder's target operating timeframe under normal conditions. Where a posting is part of the Search, timing may also be affected by third-party platform review, approval, delay, or rejection.
5.6 Shortlist Timing. References to delivery of a shortlist within a particular period represent a good-faith service target and not a contractual guarantee. Candidate availability, responsiveness, and suitability cannot be controlled by Research Pathfinder and may affect when sufficient Search results are available for delivery.
5.7 No Minimum Delivery Requirement. Nothing in a stated timeline requires Research Pathfinder to deliver a minimum number of candidates, resumes, applicants, or other results merely to satisfy a stated delivery date. Research Pathfinder may continue or extend sourcing when it reasonably determines that additional Search time is appropriate.
5.8 Delays Outside RP's Control. Research Pathfinder will not be considered in breach of these Terms for reasonable delays caused by circumstances outside its control, including disruptions to third-party sourcing platforms, job boards, technology providers, payment systems, candidate response rates, governmental action, or other force majeure events.

 

6. Candidate Sourcing and Shortlists

 

6.1 Sourcing Services. Research Pathfinder provides candidate sourcing, search, screening, ranking, and related recruiting support. Research Pathfinder is not the employer of any candidate and does not make hiring decisions on Client's behalf.
6.2 Search Methods. Research Pathfinder may use its own network and technology as well as third-party databases, job boards, professional networks, associations, sourcing platforms, direct outreach, advertising channels, and other resources it determines are appropriate for the position. Research Pathfinder retains discretion regarding the specific sourcing methods, platforms, search criteria, and channels used to conduct each Search, subject to the material requirements provided by Client.
6.3 Candidate Evaluation. Research Pathfinder may use technology, artificial intelligence, scoring methodologies, human review, professional judgment, or a combination of these methods to identify and evaluate potential candidates. Any score, ranking, recommendation, classification, or inclusion on a shortlist reflects Research Pathfinder's assessment based on the information reasonably available at the time and does not constitute a certification, warranty, or guarantee regarding a candidate's qualifications, performance, suitability, or future employment.
6.4 Shortlists. Research Pathfinder may provide Client with a curated shortlist of candidates identified through the Search. The composition and size of any shortlist will depend on the position, Search results, candidate availability, and Research Pathfinder's assessment of the available candidate pool. The term "shortlist" does not mean or imply a guaranteed minimum number of candidates.
6.5 Client Evaluation Required. All candidates presented by Research Pathfinder remain subject to Client's own evaluation and hiring process. Client is solely responsible for determining whether to contact, interview, evaluate, make an offer to, engage, or hire any candidate.
6.6 Candidate Information. Candidate Information is generally obtained from candidates, professional profiles, resumes, third-party databases, public sources, and other sourcing resources. Research Pathfinder will use reasonable care in conducting its Search but does not warrant that all information provided by or concerning a candidate is complete, current, or

error-free. Client is responsible for independently verifying any information it considers material to an employment decision.
6.7 No Employment Relationship. Research Pathfinder's identification, screening, ranking, recommendation, or presentation of a candidate does not create an employment relationship between Research Pathfinder and the candidate or between Client and the candidate.

 

7. No Guarantee of Hire or Recruiting Outcome

 

7.1 No Guarantee of Hire. Research Pathfinder does not guarantee that any Search will result in an interview, employment offer, placement, engagement, or hire. Client acknowledges that it is purchasing Research Pathfinder's performance of candidate search and sourcing services, not a guaranteed recruiting outcome.
7.2 No Minimum Candidate Guarantee. Research Pathfinder does not guarantee any minimum number of candidates, resumes, applicants, responses, qualified candidates, interviews, offers, placements, or hires resulting from any Search.
7.3 Candidate Decisions. Research Pathfinder does not control the actions or decisions of candidates and does not guarantee that any candidate will respond to outreach, express interest in a position, submit additional information, participate in an interview, remain available, accept an offer, begin employment, or remain employed after being hired.
7.4 Candidate Fit. Research Pathfinder does not guarantee that any candidate will meet every objective or subjective preference of Client. Differences in judgment regarding qualifications, experience, communication style, compensation expectations, cultural fit, personality, availability, or other hiring considerations do not constitute a failure by Research Pathfinder to perform the Services.
7.5 Market and Client Factors. Recruiting outcomes may be affected by circumstances outside Research Pathfinder's control, including candidate supply, competition for talent, compensation, geographic requirements, remote-work policies, position requirements, employer reputation, market conditions, economic conditions, and the speed and structure of Client's hiring process.
7.6 Client Hiring Decisions. Client retains sole responsibility for determining whether to contact, interview, evaluate, make an offer to, engage, hire, reject, or terminate any candidate. Research Pathfinder shall not be liable for employment or hiring decisions made by Client.
7.7 Satisfaction of Search Obligation. Research Pathfinder satisfies its obligation under a purchased Search by conducting the Search services described in these Terms using commercially reasonable efforts. The absence of a hire, interview, offer, or particular number of candidates does not, by itself, constitute nonperformance or entitle Client to a refund.

 

8. Candidate Information and Permitted Use

 

8.1 Candidate Information. In connection with the Services, Research Pathfinder may provide Client with resumes, profiles, contact information, employment histories, professional qualifications, publicly available information, screening information, candidate communications, or other information concerning prospective candidates ("Candidate Information").
8.2 Permitted Use. Client may use Candidate Information solely for legitimate recruiting, evaluation, interviewing, hiring, and related workforce-planning purposes within Client's organization and only in connection with bona fide employment or engagement opportunities.
8.3 Prohibited Use. Client shall not sell, license, publish, distribute, commercially exploit, or use Candidate Information for unrelated marketing, solicitation, advertising, data aggregation, resale, or other purposes unrelated to legitimate recruiting or hiring activities.
8.4 Confidential Treatment. Client shall restrict access to Candidate Information to employees, contractors, advisors, and representatives who reasonably require access for recruiting or hiring purposes and who are subject to appropriate confidentiality obligations.
8.5 Compliance With Law. Client is responsible for its collection, storage, use, disclosure, retention, and deletion of Candidate Information after receiving it from Research Pathfinder and shall comply with all applicable privacy, employment, anti-discrimination, data-protection, and record-retention laws.
8.6 Independent Verification. Candidate Information may originate from candidates, resumes, professional profiles, public sources, databases, third-party platforms, or other recruiting resources. Research Pathfinder does not warrant that all Candidate Information is complete, current, or error-free. Client is responsible for independently verifying any information material to an employment decision.
8.7 No Unauthorized Use or Misrepresentation. Client shall not use Candidate Information to impersonate Research Pathfinder, falsely represent that Research Pathfinder has endorsed an employment decision, or contact candidates for purposes unrelated to the position or legitimate recruiting activities.

 

9. Confidentiality

 

9.1 Confidential Information. In connection with the Services, either party may receive non-public, confidential, proprietary, or commercially sensitive information belonging to the other party ("Confidential Information"). Confidential Information may include job descriptions, unpublished positions, hiring plans, compensation information, business strategies, research programs, organizational information, Candidate Information, financial information, technology, processes, sourcing methodologies, search strategies, pricing, databases, reports, communications, and other information that reasonably should be understood to be confidential.
9.2 Protection of Confidential Information. Each party agrees to use reasonable care to protect the other party's Confidential Information and shall not disclose such information to third parties except as reasonably necessary to provide or receive the Services, as permitted by these Terms, or with the consent of the disclosing party.
9.3 Permitted Use. Confidential Information may be used only as reasonably necessary to perform, receive, evaluate, or administer the Services contemplated by these Terms.
9.4 Permitted Disclosure. A party may disclose Confidential Information to its employees, contractors, professional advisors, technology providers, and other representatives who reasonably need access to the information and who are subject to confidentiality obligations or professional duties of confidentiality.
9.5 Candidate Confidentiality. Client acknowledges that candidate identities, resumes, contact information, communications, employment histories, and related information may be confidential or sensitive. Client shall limit access to Candidate Information to individuals within its organization or its professional advisors who reasonably require the information for legitimate recruiting, interviewing, evaluation, or hiring purposes.
9.6 Client Information. Research Pathfinder will use reasonable care to protect confidential job, hiring, organizational, research, compensation, and business information supplied by Client. Research Pathfinder may disclose information concerning a position to candidates, job boards, sourcing platforms, professional networks, contractors, or other third parties to the extent reasonably necessary to conduct the purchased Search.
9.7 Exclusions. Confidential Information does not include information that the receiving party can demonstrate meets one or more of the following conditions:
(a) it is or becomes publicly available through no breach of these Terms;
(b) it was lawfully known to the receiving party before disclosure;
(c) it is lawfully received from a third party without confidentiality restrictions; or
(d) it was independently developed without use of the disclosing party's Confidential Information.
9.8 Required Disclosure. Either party may disclose Confidential Information when required by applicable law, subpoena, court order, governmental authority, or other legal process. Where legally permitted, the receiving party will provide reasonable notice before disclosure.
9.9 Survival. The confidentiality obligations contained in this Section survive completion, cancellation, or termination of the Services.

 

10. Third-Party Platforms and Services

 

10.1 Use of Third-Party Resources. Client acknowledges that Research Pathfinder may use third-party job boards, recruiting databases, professional networks, scientific and industry-specific platforms, associations, social networks, advertising channels, software tools, artificial intelligence systems, data providers, and other sourcing resources in performing the Services.
10.2 RP Discretion. Research Pathfinder retains discretion to determine which platforms, databases, networks, tools, and sourcing channels are appropriate for a particular position. The specific channels used may vary based on the position, industry, geography, candidate population, platform availability, cost, effectiveness, and other relevant factors.
10.3 Wider Net Search. A Wider Net Search may include promotion, distribution, advertising, or sourcing through additional third-party channels selected by Research Pathfinder. Purchase of a Wider Net Search does not guarantee use of any particular job board, website, database, association, or platform unless expressly agreed in writing.
10.4 Third-Party Availability. Research Pathfinder does not control third-party platforms and is not responsible for their outages, technical failures, changes in policies, account restrictions, posting delays, posting removals, candidate data errors, search limitations, discontinued services, or other actions beyond Research Pathfinder's reasonable control.
10.5 Posting Approval. Third-party platforms may independently review, reject, modify, suspend, or remove job postings according to their own terms and policies. Such action by a third-party platform does not constitute a breach of these Terms by Research Pathfinder.
10.6 Third-Party Information. Candidate or market information obtained through third-party sources may contain inaccuracies, omissions, or outdated information. Research Pathfinder will use commercially reasonable care in its sourcing activities but does not warrant the accuracy or completeness of information supplied by independent third parties.

 

11. Intellectual Property

 

11.1 Research Pathfinder Property. Research Pathfinder retains all right, title, and interest in and to its proprietary technology, software, algorithms, scoring systems, artificial intelligence processes, search methodologies, sourcing processes, workflows, databases, taxonomies, templates, reports, evaluation frameworks, ranking methods, platform configurations, business processes, branding, and other intellectual property developed or owned by Research Pathfinder.
11.2 No Transfer of RP Intellectual Property. Client's purchase of Services does not transfer ownership of any Research Pathfinder intellectual property or grant Client any right to copy, reproduce, reverse engineer, distribute, license, sell, disclose, or commercially exploit Research Pathfinder's proprietary systems or methodologies.
11.3 Client Materials. Client retains ownership of job descriptions, branding, proprietary business information, and other materials provided by Client to Research Pathfinder. Client grants Research Pathfinder a limited, non-exclusive right to use such materials as reasonably necessary to conduct the purchased Searches and perform the Services.
11.4 Candidate Materials. Resumes, profiles, portfolios, publications, and other materials associated with candidates remain subject to the rights of the candidates and any applicable third-party platforms or sources. Client receives the right to use Candidate Information only for legitimate recruiting and hiring purposes as provided in these Terms.
11.5 Search Results. Client may use candidate shortlists, Search results, and related information delivered by Research Pathfinder internally for legitimate recruiting and hiring purposes. Such delivery does not transfer ownership of Research Pathfinder's underlying sourcing methodology, scoring systems, databases, technology, or processes.

 

12. Limitation of Liability

 

12.1 Limitation of Damages. To the fullest extent permitted by applicable law, Research Pathfinder shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the Services, including lost profits, lost revenue, lost business opportunities, loss of goodwill, business interruption, or costs associated with Client's hiring decisions.
12.2 Candidate Conduct and Performance. Research Pathfinder shall not be liable for the acts, omissions, representations, performance, misconduct, qualifications, employment performance, resignation, termination, or other conduct of any candidate identified through the Services.
12.3 Hiring Decisions. Research Pathfinder shall not be liable for losses arising from Client's decision to interview, reject, hire, engage, compensate, terminate, or otherwise act or decline to act with respect to any candidate.
12.4 Third-Party Services. Research Pathfinder shall not be liable for damages caused by third-party job boards, sourcing platforms, databases, technology providers, payment processors, communications platforms, or other independent third-party services used in connection with the Services.
12.5 Liability Cap. To the fullest extent permitted by applicable law, Research Pathfinder's aggregate liability arising out of or relating to a particular purchased Search shall not exceed the amount actually paid by Client to Research Pathfinder for the specific Search giving rise to the claim.
12.6 Exceptions Required by Law. Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

 

13. Indemnification

 

13.1 Client Indemnification. Client agrees to defend, indemnify, and hold harmless Research Pathfinder and its officers, directors, employees, contractors, affiliates, and representatives from and against third-party claims, liabilities, damages, judgments, losses, penalties, costs, and reasonable attorneys' fees arising out of or relating to:
(a) Client's breach of these Terms;
(b) inaccurate, unlawful, misleading, or discriminatory information or hiring criteria supplied by Client;
(c) Client's use, disclosure, storage, or handling of Candidate Information;
(d) Client's recruiting, interviewing, employment, compensation, hiring, rejection, termination, or other employment-related decisions;
(e) Client's violation of applicable employment, labor, privacy, anti-discrimination, data-protection, or other laws; or
(f) Client's misuse of the Services or Candidate Information.
13.2 Research Pathfinder Responsibility. Research Pathfinder shall remain responsible for its own obligations under these Terms. Nothing in this Section requires Client to indemnify Research Pathfinder for claims finally determined to have resulted solely from Research Pathfinder's fraud, willful misconduct, or gross negligence.
13.3 Notice and Cooperation. A party seeking indemnification shall provide reasonable notice of a covered claim and reasonable cooperation in its defense. The indemnifying party may control the defense and settlement of the claim, provided that no settlement may impose an admission of wrongdoing, ongoing obligation, or non-monetary liability upon the indemnified party without that party's consent.

 

14. Independent Contractor; No Agency

 

14.1 Independent Contractor Relationship. Research Pathfinder performs the Services as an independent contractor. Nothing in these Terms creates or shall be construed to create an employer-employee relationship, partnership, joint venture, fiduciary relationship, franchise relationship, or other similar relationship between Research Pathfinder and Client.
14.2 No Agency Authority. Neither party has authority to bind the other party, enter into contracts on behalf of the other party, incur obligations for the other party, or make representations or commitments on behalf of the other party unless expressly authorized in writing.
14.3 Client as Hiring Authority. Research Pathfinder does not act as Client's employer or hiring authority. Research Pathfinder may source, identify, evaluate, score, rank, screen, or introduce candidates, but Client retains sole responsibility and authority for all interview, employment, compensation, offer, hiring, engagement, rejection, and termination decisions.
14.4 No Candidate Employment Relationship. Research Pathfinder's sourcing, screening, ranking, recommendation, or presentation of a candidate does not create an employment, contractor, agency, fiduciary, or other working relationship between Research Pathfinder and that candidate.
14.5 No Authority to Make Employment Commitments. Unless separately agreed in writing, Research Pathfinder has no authority to make employment offers, negotiate compensation or benefits, promise employment terms, make representations concerning Client's employment practices, or otherwise bind Client to any employment or engagement arrangement.

 

15. Governing Law and Disputes

 

15.1 Governing Law. These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.
15.2 Good-Faith Resolution. Before commencing formal legal proceedings, the parties agree to make a reasonable good-faith effort to resolve any dispute arising out of or relating to the Services through direct discussion between authorized representatives of the parties.
15.3 Venue and Jurisdiction. If a dispute cannot be resolved informally, each party consents to the exclusive jurisdiction of the state and federal courts located in the State of Delaware that have subject-matter jurisdiction over the dispute and waives any objection to personal jurisdiction or venue to the extent permitted by law.
15.4 Equitable Relief. Nothing in this Section prevents either party from seeking temporary, preliminary, or permanent injunctive or equitable relief when reasonably necessary to protect Confidential Information, intellectual property, Candidate Information, or other rights for which monetary damages may be inadequate.
15.5 Attorneys' Fees. To the extent permitted by applicable law, the prevailing party in any action arising out of or relating to these Terms may recover its reasonable attorneys' fees and costs where such recovery is authorized by law or awarded by the court.

 

16. Changes to Terms

 

16.1 Future Changes. Research Pathfinder may revise these Terms from time to time to reflect changes in its Services, business practices, technology, legal requirements, or other operational considerations.
16.2 Effective Date of Changes. Revised Terms will become effective when posted on Research Pathfinder's website or on a later effective date identified in the revised Terms.
16.3 Existing Purchases. Unless required by law or agreed by the parties, material changes to these Terms will not retroactively alter the substantive terms governing a Search that Client purchased before the revised Terms became effective.
16.4 Continued Use. Client's purchase of additional Services after revised Terms become effective constitutes acceptance of the Terms then in effect.

 

17. Entire Agreement

 

17.1 Entire Agreement. These Terms, together with the applicable checkout page, order confirmation, and any written proposal, statement of work, or other written agreement expressly incorporated by reference, constitute the entire agreement between Research Pathfinder and Client concerning the Services purchased.
17.2 Prior Communications. These Terms supersede prior or contemporaneous discussions, representations, proposals, marketing materials, emails, statements, or understandings concerning the same Services, except to the extent expressly incorporated into a written agreement between the parties.
17.3 Order of Priority. If there is a direct conflict between these Terms and a separately executed written agreement signed by Research Pathfinder and Client, the separately executed agreement will control with respect to the specific subject matter of the conflict.
17.4 Severability. If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.
17.5 Waiver. A party's failure or delay in enforcing any provision of these Terms shall not operate as a waiver of that provision or any other provision. Any waiver must be in writing to be effective.

 

18. Electronic Acceptance

18.1 Electronic Agreement. Client acknowledges and agrees that these Terms may be accepted electronically and that electronic acceptance has the same legal force and effect as a handwritten signature to the extent permitted by applicable law.
18.2 Checkout Acceptance. By checking the box indicating agreement to the Research Pathfinder Terms of Service and submitting payment, Client confirms that it has had an opportunity to review these Terms and agrees to be legally bound by them.
18.3 Authority to Accept. The individual completing the purchase represents and warrants that he or she is at least eighteen years of age and has the authority to accept these Terms and purchase the Services on behalf of the Client identified at checkout.
18.4 Electronic Records. Client agrees to the use of electronic records, electronic communications, online payment confirmations, receipts, and other electronic documentation relating to the Services.
18.5 Record of Acceptance. Research Pathfinder may retain electronic records associated with Client's acceptance of these Terms, including the date and time of acceptance, order information, payment information, and other transaction records maintained through Research Pathfinder's website and payment systems.
